Tandberg Completes Codian Acquisition (24th September 2007)

TANDBERG, a leading global provider of telepresence, high-definition videoconferencing and mobile video, today announced completion of its acquisition of Codian, an award-winning developer of high-definition videoconferencing infrastructure products. The transaction, a combination of cash and stock, is valued at $270 million (USD). TANDBERG announced an agreement to acquire Codian 18 days ago on September 6, 2007.

Intellectual capital from Codian R&D and sales personnel will further strengthen TANDBERG’s existing expertise to accelerate innovation and the pursuit of new business opportunities in the telepresence, videoconferencing and broader IP communications marketplace.

“I am enthused about the value of bringing together Codian’s talent with our own team to work on future opportunities”, said Fredrik Halvorsen, TANDBERG CEO. “In addition, our company gains valuable high-definition videoconferencing infrastructure products and solutions”.

As a part of TANDBERG's total solution, Codian's state-of-the-art infrastructure products, including Multipoint Control Units (MCUs), gateways, videoconferencing content servers, and management software, will provide customers with a platform for large-scale deployments of high-definition videoconferencing systems. TANDBERG will continue to develop and support the Codian and TANDBERG product lines. These include both the TANDBERG MPS line of MCUs and the Codian MCU platforms.

Codian was a privately held U.K.-based company with service and support in the United States, Europe and Asia, with a total of 107 employees. For the first six months of 2007, Codian posted un-audited revenues of approximately $13 million (USD).

High Definition uses the progressive scan format rather than interlacing, treating the entire video image as one frame and does not suffer from jagged edges in the picture.
